Terms of Service
Jargonee is a product of Resonance Labs. These Terms of Service govern your access to and use of Jargonee. By creating an account, accessing Jargonee, or using any of its features, you agree to be bound by these Terms. If you do not agree, do not use Jargonee.
Read these Terms carefully. They include provisions that affect your legal rights, including limitations on our liability and rules governing how disputes are resolved.

1Definitions
"Jargonee" means the Jargonee website at jargonee.com, the analyzer, the account and subscription features, and all related services made available under the Jargonee name.
"Resonance Labs," "we," "us," and "our" refer to Resonance Labs, operating from Scottsdale, Arizona, United States. Jargonee is a product of Resonance Labs and is not a separate company.
"You," "your," and "user" refer to the individual or entity that has registered for an account or otherwise accesses Jargonee.
"Text" means any text, passage, document content, or other material you submit to Jargonee for analysis.
"Output" means the findings, highlights, categories, counts, scores, and other results Jargonee produces in response to your Text.
2Acceptance of These Terms
By creating an account or using Jargonee, you represent that you are at least 18 years old, or between 13 and 18 with the consent of a parent or legal guardian, and that you have the legal authority to enter into these Terms. If you are using Jargonee on behalf of a company or other organization, you represent that you have the authority to bind that organization, and references to "you" include that organization.
These Terms, together with the Jargonee Privacy Policy, constitute the entire agreement between you and Resonance Labs regarding Jargonee.
3Account Registration and Security
Some features of Jargonee require an account. Account authentication is managed through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us at support@resonancelabs.ai if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
We may suspend or terminate accounts that we believe are being used in violation of these Terms or in a manner that creates risk to Jargonee or other users.
4Acceptable Use
You agree to use Jargonee only for lawful purposes and in accordance with these Terms. You agree not to do any of the following.
Use Jargonee to violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights.
Submit Text that you do not have the legal right to submit, including Text that infringes intellectual property rights or that contains personal or confidential information you are not authorized to share.
Reverse engineer, decompile, disassemble, or attempt to derive the source code, dictionary, detection logic, or architecture of Jargonee, except to the extent that applicable law expressly prohibits this restriction.
Probe, scan, or test the vulnerability of Jargonee, breach any security or authentication measure, or interfere with the operation of the service, except as part of a coordinated security disclosure submitted to support@resonancelabs.ai in advance.
Use Jargonee to develop, train, or improve any competing product, service, or model.
Use automated means, including bots, scrapers, or crawlers, to access Jargonee.
Resell, sublicense, or otherwise commercially exploit Jargonee or the Output without our prior written consent.
Use Jargonee to transmit malware, spyware, or any other malicious code, or to engage in any activity that disrupts, damages, or impairs the service.
We may investigate and take appropriate action against any user we believe has violated this section, including suspending or terminating accounts and reporting violations to law enforcement.
5Subscription Tiers, Billing, and Payment
Jargonee offers one or more paid subscription tiers. The features, limits, and pricing of each tier are described on jargonee.com and may be updated from time to time.
Payment processor. All paid subscriptions are processed through Stripe. By subscribing to a paid tier, you authorize us and Stripe to charge your designated payment method for the applicable subscription fees, including any taxes. Your use of Stripe is subject to Stripe's own terms and privacy policy. We do not receive or store your full payment card number, security code, or bank account details.
Renewals. Paid subscriptions automatically renew at the end of each billing cycle until you cancel. You may cancel at any time through the Stripe Customer Portal linked from your account, or by contacting support@resonancelabs.ai. Cancellation takes effect at the end of the current billing cycle, and you retain paid access until that date.
Refunds. Subscription fees are non-refundable except as required by applicable law or as expressly stated in writing by Resonance Labs. We do not offer prorated refunds for partial billing cycles, unused time, or downgrades.
Price changes. We may change the pricing of any subscription tier. Price changes will not affect your current billing cycle. We will give you reasonable advance notice of a price change that affects your subscription, and continued use after the change takes effect constitutes acceptance of the new pricing.
Failed payments. If a payment fails, we may suspend access to paid features until payment is resolved. Repeated failed payments may result in cancellation of your subscription.
Taxes. Subscription fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes arising from your subscription, except for taxes based on our net income.
6Your Text, Your Output, and Our Intellectual Property
Your Text. You retain all ownership rights in the Text you submit. By submitting Text, you grant Resonance Labs a limited, non-exclusive, worldwide, royalty-free license to process that Text for the sole purpose of producing the Output and returning it to you. This license is limited to the duration of that processing.
We do not retain your Text and we do not train on it. Jargonee analyzes submitted Text and returns the Output to you. The Text is not written to our database and is not used to develop, train, tune, or improve any model. Jargonee's analyzer is a deterministic rules and dictionary engine. It does not learn from what it reads. This is a property of how the engine is built, not a promise layered on top of it. Our handling of information is described in full in the Jargonee Privacy Policy.
Your Output. Subject to your compliance with these Terms, you may use the Output for your own personal or internal business purposes. You may not resell, redistribute, or commercially exploit the Output without our prior written consent.
Our intellectual property. Jargonee, including its dictionary, categories, detection logic, software, design, copy, and branding, is owned by Resonance Labs or its licensors and is protected by intellectual property law. These Terms grant you no ownership rights in Jargonee. All rights not expressly granted are reserved.
Feedback. If you send us feedback, suggestions, or ideas about Jargonee, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
7What Jargonee Is and Is Not
Jargonee identifies jargon, filler, and inflated language in text you submit, and shows you where it occurs. The Output is an editorial and analytical aid.
The Output is not legal advice, financial advice, compliance advice, employment advice, or professional advice of any kind. Resonance Labs is not a law firm and is not a substitute for one. Nothing in the Output creates an attorney-client relationship or any other professional relationship between you and Resonance Labs.
You are solely responsible for any decision you make based on the Output, including any decision to publish, send, edit, sign, reject, or act on a document.
8Disclaimer of Warranties
Jargonee and the Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Resonance Labs disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and reliability.
We do not warrant that Jargonee will be uninterrupted, error-free, or secure, or that any defect will be corrected. We do not warrant that the Output will meet your requirements or that any particular result will be achieved.
Jargonee is deterministic with respect to a given engine version and dictionary version. The same text submitted to the same engine version produces the same Output. Engine and dictionary versions are updated over time, and results produced under an earlier version can be reproduced only under that version.
9Limitation of Liability
To the fullest extent permitted by law, in no event will Resonance Labs or any of its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising from or related to your use of Jargonee, whether based on contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total cumulative liability to you for all claims arising from or related to Jargonee or these Terms is limited to the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10Indemnification
You agree to indemnify, defend, and hold harmless Resonance Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to (a) your use of Jargonee, (b) the Text you submit, (c) your violation of these Terms, (d) your violation of any law or third-party right, or (e) any decision or action you take based on the Output.
11Suspension and Termination
Termination by you. You may stop using Jargonee at any time. You may cancel a paid subscription through the Stripe Customer Portal or by contacting support@resonancelabs.ai, and you may request deletion of your account by contacting the same address.
Termination by us. We may suspend or terminate your account, with or without notice, if we believe you have violated these Terms, if your continued use creates risk or liability for us or other users, if required by law, or if we discontinue Jargonee.
Effect of termination. Upon termination, your right to access Jargonee ceases immediately. We may retain limited account and billing records after termination as described in the Privacy Policy and as required by law. Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
12Changes to Jargonee
We may modify, update, suspend, or discontinue Jargonee or any feature of it at any time, with or without notice. The dictionary, categories, and detection logic are refined over time, and the Output for a given text may change between versions. We are not liable to you or any third party for any modification, suspension, or discontinuation of Jargonee.
13Changes to These Terms
We may update these Terms from time to time. When we make a material change, we will notify you by email or through a notice on jargonee.com before the change takes effect. The Effective Date at the top of these Terms reflects the date of the most recent update. Your continued use of Jargonee after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using Jargonee.
14Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or Jargonee that is not resolved through informal discussion will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
Any cause of action arising from or related to Jargonee must be commenced within one year after the cause of action accrues. Otherwise it is permanently barred.
Nothing in this section limits either party's right to seek injunctive or equitable relief in any court of competent jurisdiction.
15General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Resonance Labs regarding Jargonee and supersede any prior agreements.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other business transfer.
No third-party beneficiaries. These Terms are for the benefit of you and Resonance Labs only. No third party has rights under these Terms.
Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, or government action.
Notices. We may provide notices to you by email to the address associated with your account or by posting on jargonee.com. You may send notices to us at support@resonancelabs.ai.
